These Terms and Conditions are agreed between:
The sole proprietorship MICHELS MATHILDE, whose registered office is located at 6 RUE BLEUE 75009 PARIS 9, registered under number 981 201 429 (hereinafter "TOKENOMICS DATA") and the person placing the Order (hereinafter the "Customer").
TOKENOMICS DATA and the Customer are hereinafter individually referred to as the "Party" and collectively as the "Parties".
PREAMBLE
TOKENOMICS DATA develops and operates an online platform (hereinafter the "Site") with the aim of centralizing and structuring economic and statistical data relating to Web3 projects for the general public.
This Site aims to provide a single point of access to key data enabling a better understanding of the economic models of blockchain projects, with a view to transparency and clarity. The platform is based on the creation of an independent database, fed by several types of sources (on-chain data, off-chain data).
The purpose of the Terms and Conditions is to define the terms and conditions under which TOKENOMICS DATA offers access to the Site and the Services.
Article 1. GENERAL
The Terms and Conditions apply automatically and by operation of law to the Order.
IMPORTANT: NOTE TO USERS
ANY ORDER IMPLIES THE EXPRESS, PRIOR, FULL, AND UNRESERVED ACCEPTANCE BY THE USER OF THE TERMS AND CONDITIONS. BY CHECKING THE BOX: "I accept the Terms and Conditions" AND BY ACCEPTING THEM WHEN PLACING THEIR ORDER, THE USER ACKNOWLEDGES THAT THEY ARE BOUND BY ALL OF THE TERMS AND CONDITIONS.
The User acknowledges that they are committing themselves with full knowledge of all the economic, financial, and technical information necessary for their decision-making and enabling them to assess the nature and scope of this contractual commitment.
Article 2. DEFINITIONS
Within the framework of these Terms and Conditions, the terms and expressions listed below, the first letter of which is capitalized, have the meanings assigned to them below. These terms shall have the same meaning in the singular and plural.
"Terms of Use": refers to the terms and conditions applicable to Users when using the Site and accessible on the Site;
"Terms and Conditions": refers to these terms and conditions of sale defining the terms and conditions of access to the Services;
"Customer": refers to any natural or legal person who enters into a contractual relationship with TOKENOMICS DATA by accepting the Terms and Conditions in order to benefit from the Services. Customers are the end users of the Services offered by TOKENOMICS DATA;
"Order": refers to any act of subscribing to the Services;
"Account": refers to the interface containing all data relating to the User created under the conditions set out in the Terms of Use, accessible from the Site and enabling the Customer to place Orders on the Site. This data includes, in particular, all personal information belonging to the User as well as information relating to their Orders;
"Intellectual property rights" means any patent, copyright and related rights, moral rights, trademarks, trade names and domain names, rights to designs and models, rights to computer software, rights to databases, rights to confidential information (including know-how and trade secrets), and any other intellectual property rights, whether registered or not, including all applications, renewals or extensions of such rights and all similar or equivalent rights or forms of protection in force or to come;
"Identifiers" means the email address used by the User when creating their Account, enabling the User to access their Account;
"Platform" or "Site": refers to the web platform or website accessible at https://tokenomics-data.com/ and the associated mobile application offered by TOKENOMICS DATA and from which Users can place an Order;
"Service": refers to the services offered by TOKENOMICS DATA and presented on the Site after an Order is placed by a Customer. These services are governed by the TERMS AND CONDITIONS. They include, but are not limited to:
- subscription to a subscription (free or paid);
- access to a structured database relating to Web3 projects;
- consultation of on-chain economic data (total supply, burn, price, circulating supply, etc.);
- consultation of off-chain data (white papers, fundraising, allocations, vesting, etc.);
- access to summaries and enhanced visualizations (graphs, comparisons, aggregated analyses);
- consultation of editorial content (descriptions, typologies, explanations of business model );
- the ability to filter, search, and cross-reference indicators;
- access, where applicable, to advanced features (alerts, data export, favorites, etc.); and, where applicable,
- access to analysis tools or modules developed by TOKENOMICS DATA or its partners.
The services offered may change over time. The Customer shall benefit from the services as defined on the Site and accepted at the time of the Order, even if the descriptions of these services do not appear directly in the Terms and Conditions. Any subsequent changes to the services shall not affect the service already ordered.
"User": refers to any person who accesses and browses the Site without necessarily entering into a contractual relationship via the Terms and Conditions for the subscription of a Service. Users may consult the information available on the Site, including descriptions of the Services, but do not actively participate in the TOKENOMICS DATA ecosystem until they accept the Terms and Conditions and become Customers. Users are subject to the Site's Terms of Use, which regulate access to information and use of the Site.
Article 3. PURPOSE
The purpose of the Terms and Conditions is to define the terms and conditions under which Users may benefit from the Services.
The Terms and Conditions are systematically brought to the attention of Users before placing an Order.
They apply exclusively and prevail over all other terms and conditions, except those expressly accepted by TOKENOMICS DATA.
Consequently, all other terms and conditions (including special terms and conditions) shall only be binding on TOKENOMICS DATA after written confirmation by TOKENOMICS DATA.
The Terms and Conditions are accessible at any time via a direct link on the Site.
Article 4. SERVICES
TOKENOMICS DATA offers, through its Site, access to a platform for centralizing, structuring, and visualizing economic data relating to Web3 projects.
These services are accessible after subscribing to a free or paid subscription, according to the terms and conditions specified on the Site.
The Services include, but are not limited to:
- subscription (free or paid);
- access to a structured database relating to Web3 projects;
- consultation of on-chain economic data (from the blockchain, such as total supply, burn, price, circulating supply);
- consultation of off-chain data (from public documents such as white papers, blogs, official websites, etc.);
- access to editorial content generated by artificial intelligence and then manually verified;
- integration of data from third-party project APIs or specialized providers (price history, volumes, classifications);
- production of derived data through internal processing or calculation (vesting curves, graphical representations, aggregations);
- access to market statistics, filtering, comparison, and export features, depending on the package selected.
The data provided comes from technical sources (on-chain data), documentary sources (off-chain data), algorithms (internal processing) and, where applicable, programming interfaces (APIs) provided by the projects or recognized third-party service providers. All data is collected, aggregated, processed, and structured by TOKENOMICS DATA to make it readable, comparable, and usable for economic information purposes.
The Site aims to provide a clear, up-to-date and neutral overview of the economic mechanisms specific to blockchain projects. It is intended for professionals, analysts, researchers, investors or any other party wishing to gain a better understanding of tokenomics, without providing any individualized advice.
TOKENOMICS DATA is not registered as a financial investment advisor (CIF) and does not provide any investment advice, personalized recommendations, or financial analysis within the meaning of applicable regulations. The information provided is purely informative and does not constitute an incentive to invest or a promise of profitability. Each User or Customer remains solely responsible for the decisions they make based on the information available on the Site.
The Services offered are subject to change over time. The Customer benefits from the Services as described on the Site on the day of the Order. Any subsequent changes to the Services will not apply retroactively to services already purchased.
Article 5. PLACING AN ORDER
Conditions for placing an Order
To benefit from the Services, the User must have created an Account.
Order procedure
Users wishing to benefit from a Service on the Platform must follow the steps indicated on the Site to formalize their Order.
Before confirming the Order, the User is required to check and confirm that all information is correct.
After verification, the User must confirm their Order and accept the Terms and Conditions.
The Customer declares that all information provided is complete, accurate, and truthful, and agrees to update it immediately if it changes.
TOKENOMICS DATA reserves the right to refuse any Order for any reason, at its sole discretion.
The Customer shall have the right to access all information related to their Order on the Site.
Access to this information is strictly limited to the Customer concerned.
It is the Customer's responsibility to maintain the security of their Account and Login Details.
Article 6. OBLIGATIONS, WARRANTIES, AND LIABILITIES
Customer
Obligations
The Customer shall refrain from granting any rights to the Services, or from transferring, disseminating, distributing, renting, or making the Services available, directly or indirectly, to a third party or the public, whether free of charge or for a fee.
Customers agree to comply with the Terms and Conditions and to use the Platform in accordance with TOKENOMICS DATA's instructions.
Customers agree to meet their financial obligations.
Warranties
The Customer warrants that it has the full legal capacity, power, and authority to sign and perform the Terms and Conditions and to perform its obligations hereunder. The Terms and Conditions constitute a valid, binding, and enforceable obligation on the Customer, subject to applicable regulations.
Customers warrant that:
- they are not a competitor of TOKENOMICS DATA and/or will not register and use the Services for the purpose of competing with TOKENOMICS DATA in a fraudulent manner and/or in a manner that harms the interests of TOKENOMICS DATA;
- they are the holder of the means of payment used to place the Order; and
- that they are acting on their own behalf and are fully authorized to place an Order.
The Customer is informed that:
- TOKENOMICS DATA is bound by an obligation of means, not of results;
- TOKENOMICS DATA cannot be held liable for the actions of the Customer or their consequences vis-à-vis third parties.
The Customer declares and guarantees that they have read and accepted the TERMS AND CONDITIONS, including the exceptions provided for therein.
Liability
The Customer accepts that TOKENOMICS DATA shall not be liable for any direct damages (loss of data during use of the Site, information that could lead to unfavorable decisions for the Customer (such as loss of investments), etc.) or indirect damages (loss of investment opportunities, etc.).
In the event of failure to comply with the obligations arising from acceptance of the TERMS AND CONDITIONS, payment incidents, provision of incorrect information when creating the Account, fraudulent, abusive or otherwise illegal activity, or acts likely to harm the interests of TOKENOMICS DATA, the latter reserves the right to suspend access to the Platform and/or the Account without notice or, depending on the seriousness of the acts, to delete the Customer's Account without any damages being claimed and to take all measures, including civil and criminal legal action, against the Customer.
TOKENOMICS DATA
Obligations
TOKENOMICS DATA is subject to a simple obligation of means under the TERMS AND CONDITIONS.
TOKENOMICS DATA undertakes in particular to:
- deliver the Services with diligence and in accordance with best practice and to inform and advise the Customer accordingly; and
- execute the Terms and Conditions and deliver the Services in accordance with applicable regulations.
The Terms and Conditions constitute a legal obligation, valid and binding, enforceable against TOKENOMICS DATA in accordance with its terms, within the limits of applicable regulations, in particular regarding collective proceedings, insolvency or other legal obligations of general application relating to or affecting the enforcement of creditors' rights in general. To the best of TOKENOMICS DATA's knowledge, it is not in breach of (i) its current articles of association, (ii) any law and/or regulation applicable to TOKENOMICS DATA, or (iii) any act or contract to which TOKENOMICS DATA is a party or by which it is bound, where, in each such case, such breach or default could reasonably have a material adverse effect on TOKENOMICS DATA.
The User is informed that the Terms and Conditions are solely and exclusively intended to define the terms and conditions under which the Services are sold by TOKENOMICS DATA to Customers. The sale confers on the Customer the right to benefit from the Services. The Order under these Terms and Conditions does not guarantee any rights, expectations or claims regarding other products or services.
Liability
Under no circumstances shall TOKENOMICS DATA be held liable, directly or indirectly, for any damage resulting from:
- the actions of the Customer and/or its Users;
- the actions of a third party, without any fault on the part of TOKENOMICS DATA; or
- an event constituting force majeure as defined by the case law of French courts and tribunals.
TOKENOMICS DATA shall in no event be liable to the Customer or any third party for any special, indirect, incidental, punitive and/or consequential losses, liabilities, costs and/or expenses resulting from or in connection with the TERMS AND CONDITIONS, whether contractual, tortious or otherwise, even if TOKENOMICS DATA has been informed of the possibility of their occurrence. The Parties agree that, with the exception of those types of losses, liabilities, costs and/or expenses that cannot be limited or excluded under applicable law, TOKENOMICS DATA's total liability to the Customer for all losses, liabilities, costs and/or expenses arising out of or in connection with the Terms and Conditions shall not exceed the value of the price of the Order over the last 12 months.
TOKENOMICS DATA acts exclusively as a provider of objective information. It does not provide any investment advice, personalized recommendations or financial analysis within the meaning of applicable regulations, and is not registered as a financial investment advisor (CIF) or any other regulated status. The choices of analysis, interpretation or decision made by the Customer (or User) based on the data available on the Site are their sole responsibility. The Customer (or User) acknowledges that they remain the sole judge of the appropriateness, relevance or otherwise, and the consequences of any investment or non-investment based on the information provided.
As the Platform may evolve, TOKENOMICS DATA reserves the right to modify the specifications, characteristics, and content of the Site for any reason whatsoever. These modifications and/or withdrawals may occur at any time without notice, including after the Order, without TOKENOMICS DATA being held liable.
Article 7. SUBSCRIPTION
All offers (free or paid) are available as monthly or annual subscriptions, with the annual subscription benefiting from a preferential rate.
All subscription options are specified on the Site, accompanied by information on the applicable prices.
Each offer requires the User to create an Account in advance.
The subscription provides access to a personalized dashboard from which the Customer can view the tokenomics of the projects. The number of projects that can be viewed and the features available within this dashboard vary depending on the subscription plan chosen. Tokenomics include, especially:
- a summary description of the project;
- its classification by category;
- supply data (issuance, circulating supply, max supply, etc.);
- chain architecture;
- price data;
- allocations communicated by the projects;
- vesting curves and release schedule;
- fundraising information;
- links to official documents such as the white paper and project website;
- file downloads: option to download project Tokenomics Data sheets and graphs in image or PDF format, including a watermark or background featuring the TOKENOMICS DATA logo;
- access to global market statistics: access to a set of statistical data representative of the market and trends in tokenomics, with the option of applying filters to refine the analysis (by sector, category, period, etc.);
- The "Compare tokenomics" feature is available to all Customers with a subscription. However, the level of features available in this section varies depending on the subscription plan chosen. Some plans allow for more advanced comparisons or access to a larger number of projects, while others offer limited access to the main data available in the individual consultation.
When creating their Account, Users are invited to select a number of tokens from a list divided into different categories, within the limits set by the subscription plan chosen.
The Services are offered to different customer profiles, depending on the subscription plan chosen: individuals (B2C) or businesses (B2B).
When certain data, features, or visual representations are not included in the subscription plan associated with the Customer's Account, they will appear blurred, accompanied by a link to view the various offers available.
Article 8. TERM
The Terms and Conditions come into force on the date the Order is confirmed and apply for the entire duration of the Customer's use of the Services.
The duration of the subscription is determined at the time of the Order, according to the chosen plan (monthly or annual).
The subscription is concluded for a fixed term, tacitly renewable at the end of the term for successive periods of the same duration, unless terminated by the Customer or TOKENOMICS DATA under the conditions set out in the article relating to termination.
The Customer may consult the information relating to the duration of their current subscription at any time from their Account.
TOKENOMICS DATA reserves the right to terminate these Terms and Conditions under the conditions set out in the "Termination" article, in particular in the event of a breach by the Customer of their contractual obligations.
Article 9. FINANCIAL TERMS
Means of payment
Subject to the Customer's full compliance with the Terms and Conditions, TOKENOMICS DATA will accept Orders in euros via PayPal.
The applicable price is that indicated at the time the Order is placed by the Customer, excluding taxes. This price is firm and cannot be modified after the Order has been confirmed, unless otherwise stated in the Terms and Conditions. Applicable taxes, such as VAT, will be added to the final amount at the time of payment.
Prices include VAT applicable on the date of the Order.
TOKENOMICS DATA reserves the right to modify the prices of Orders (as well as the currencies of the prices) at any time as long as the Customer's Order has not been confirmed.
The Customer will be charged the amount specified at the time of payment confirmation. If the transaction is refused, the Order will be automatically canceled.
All payment information is transmitted to TOKENOMICS DATA's payment service providers and is not processed on the Site.
The Customer undertakes to be the authorized holder of any means of payment used to pay for the Order and that this means of payment gives access to sufficient funds to cover the amount of the Order.
TOKENOMICS DATA cannot be held liable in the event of fraudulent use of the means of payment used.
Invoices
Orders are subject to invoices issued by TOKENOMICS DATA to the Customer.
Invoices are made out in the name of the Customer and are sent by email to the email address provided by the Customer when creating their Account.
Article 10. WITHDRAWAL PERIOD
In accordance with Article L. 221-28 of the French Consumer Code, the Customer acknowledges that for the supply of digital content not presented on a tangible medium, and whose performance begins before the expiry of the withdrawal period, they give their express consent and acknowledge the loss of their right of withdrawal. TOKENOMICS DATA will provide the Customer, under the same conditions and before the expiry of the withdrawal period, with confirmation of this agreement and acknowledgment.
Furthermore, the right of withdrawal cannot be exercised for contracts for the provision of services that have been fully performed before the end of the withdrawal period.
Article 11. INTELLECTUAL PROPERTY RIGHTS
In accordance with the Terms and Conditions, TOKENOMICS DATA shall be the owner of all Intellectual Property Rights and all related elements, in particular those related to the Site.
The technical and technological resources and know-how used in the design of the Services and documents of any kind remain the exclusive property of TOKENOMICS DATA, whether or not they are protected by intellectual property rights.
Any document, content, database, in any form whatsoever, in its entirety, provided to the Customer for a fee or free of charge, is granted to the Customer solely on a loan basis for use, allowing the Customer exclusively to fulfill their Order, where applicable, in accordance with a separate dis sclosure and/or non-disclosure agreement that forms an integral part of the Terms and Conditions, and may not be used by the Customer for any other purpose without incurring liability.
The Customer shall refrain from copying, imitating, modifying, altering, amending or using any content subject to Intellectual Property Rights without the prior written consent of TOKENOMICS DATA, in particular the elements contained on the Site and the software developed by TOKENOMICS DATA.
It is agreed that no provision of the Terms and Conditions shall entail any transfer of Intellectual Property Rights to the User or the Customer.
The database created and operated by TOKENOMICS DATA is protected by law under the Intellectual Property Code. Any extraction, reuse, reproduction or attempted scraping, in whole or in part, of this database or its content, by any means whatsoever and for any purpose whatsoever, is strictly prohibited without the prior written authorization of TOKENOMICS DATA and may result in civil and criminal prosecution.
Article 12. PERSONAL DATA
In accordance with Law No. 78-17 of January 6, 1978, as amended, relating to information technology, files, and civil liberties, known as the "Data Protection Act," and Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data ("GDPR"), Customers are informed that TOKENOMICS DATA implements automated processing of their personal data in order to enable them to access and use the Services offered by TOKENOMICS DATA and to enable TOKENOMICS DATA to process and manage commercial relationships, process Orders and provide the Services.
This data may be transmitted to TOKENOMICS DATA's subcontractors who contribute to these relationships for their management, execution, processing, and payment.
Each Customer has the right to access, modify, rectify, restrict, transfer, and delete data concerning them, as well as the right to object.
To do so, they should contact the support service by email at the following address: mathilde.michels@tokenomics-data.com.
For further information, TOKENOMICS DATA invites Customers to read the Privacy Policy available at https://tokenomics-data.com/privacy-policy. This policy forms an integral part of the Terms and Conditions. Acceptance of the Terms and Conditions implies acceptance of the Privacy Policy.
Article 13. ETHICS - TRANSPARENCY AND ANTI-CORRUPTION
TOKENOMICS DATA undertakes to comply with applicable laws and regulations on anti-corruption, in particular the law of December 9, 2016 (the "Sapin II" law) on transparency, anti-corruption, and the modernization of economic life, to the extent that they are applicable.
In connection with the performance of the Contract, TOKENOMICS DATA declares that its legal representatives, directors, officers, and employees will not, directly or indirectly, offer, promise, give, authorize, solicit, or accept the payment of any sum of money, the giving of a gift or anything else of value, or to grant any other unjustified advantage related to the Contract to (i) any person or company whatsoever, or (ii) any government official or employee or any political party or candidate for a political party, with the aim of inducing or rewarding any action by that person in order to obtain an undue advantage.
Article 14. FORCE MAJEURE
The following are expressly considered as cases of force majeure or fortuitous events, those usually recognized by the jurisprudence of French courts and tribunals, as well as the following non-cumulative events: war, riot, fire, internal or external strikes, lockouts, occupation of the premises of either Party, bad weather, earthquakes, floods, water damage, legal or governmental restrictions and/or measures, including any restriction or measure involving a limitation on movement, legal or regulatory changes to forms of marketing, accidents of any kind, epidemics, pandemic, pandemic of an emerging infectious disease, illness affecting more than ten percent (10%) of the personnel of either Party within a period of two (2) consecutive months, failure to supply energy, partial or total shutdown of the Internet and, more generally, of private or public telecommunications networks, road blockages and the impossibility of supplying goods, and any other case beyond the express control of the Parties preventing the normal performance of the Terms and Conditions.
IT risks such as cyberattacks, viruses, IT system failures or security breaches, and any other interruption of digital services, including the partial or total shutdown of the Internet and private or public telecommunications networks, shall also be considered as force majeure events. These events, whether or not they are beyond the control of the Parties or cumulative with other events, prevent the normal performance of the Terms and Conditions and are added to the usual causes recognized by French case law.
The Parties shall not be held liable if the non-performance or delay in the performance of any of their obligations, as described herein, results from a case of force majeure as defined by Article 1218 of the Civil Code.
Force majeure shall only release the Party invoking it from its contractual obligations to the extent and for the duration of the event preventing it from performing its obligations.
The Party affected by a case of force majeure shall immediately inform the other Party by email of its inability to perform its obligations and provide justification to the other Party by producing all relevant supporting documents.
The Party invoking force majeure shall make every effort to minimize the harmful effects resulting from this situation.
However, if the event giving rise to the force majeure (hereinafter the "Event") continues for more than thirty (30) days, definitively preventing one of the Parties from fulfilling its obligations under the Terms and Conditions, the Terms and Conditions shall be suspended for the duration of the Event from the date of notification by the Party affected by the force majeure to the other Party informing it of the impossibility of performing its obligations.
The suspension of obligations shall in no case be a cause of liability for non-performance of the obligation in question, nor shall it give rise to the payment of damages or penalties for delay.
If the Event lasts for more than three (3) months, either consecutively or intermittently, definitively preventing one of the Parties from fulfilling its obligations under the Terms and Conditions, the latter may terminate the contract in writing without incurring any liability and without the other Party being entitled to any right of recourse or compensation.
Article 15. ACCESS AND AVAILABILITY OF THE PLATFORM
The Site is accessible seven (7) days a week, twenty-four (24) hours a day. However, due to access to the Platform via the Internet, TOKENOMICS DATA does not guarantee the operation of and access to the Platform 7 (seven) days a week and 24 (twenty-four) hours a day.
TOKENOMICS DATA reserves the right to interrupt the operation of the Site at any time, with or without notice, in particular in the following cases:
- corrective or upgrade maintenance of the Services;
- in the event of an emergency or absolute necessity to prevent serious damage to the Services; the Customer may be informed retrospectively of this suspension and the expected time frame for restoring the Services;
- any failure of the host (main server and backup) or the Internet service provider;
- attempted attack or attack on the security of the Services;
- use of the Services by any Customer or third party likely to generate a risk to the security, provision or access to the Services;
- events constituting force majeure; and/or
- express request from any administrative, judicial, governmental authority or any person having authority under applicable regulations.
In addition, Customers acknowledge that the Platform may be interrupted for reasons beyond TOKENOMICS DATA's control and that TOKENOMICS DATA cannot therefore guarantee continuous access to the Platform.
Customers are invited to inform TOKENOMICS DATA of any technical problems they encounter while browsing and/or using the Platform by writing to the following address and describing the problem encountered: mathilde.michels@tokenomics-data.com.
Finally, TOKENOMICS DATA reserves the right to modify the Platform and/or the Services, in particular for technical or commercial reasons. When these modifications do not substantially and/or negatively alter the conditions of service provision, Customers may be informed of the modifications, but their acceptance is not required.
The Customer assumes full and exclusive responsibility for protecting the equipment that allows them to access the Platform and for ensuring that their data is protected against any damage (including anti-virus software, firewalls, operating system and web browser security updates, etc.).
Article 16. TERMINATION
Termination at the initiative of the Customer
The Customer may terminate their subscription at any time from their Account.
Termination shall take effect at the end of the current subscription period, provided that it is made no later than the day before automatic renewal.
Failing this, the subscription shall be renewed for a new period of the same duration, and the corresponding amount shall be payable in full.
No partial or total refund will be made for a period that has already begun.
Deletion of the Account by the Customer shall constitute termination of the subscription, which shall take effect at the end of the current subscription period, provided that it is done no later than the day before the automatic renewal date, with no refund for the period already started.
Termination by TOKENOMICS DATA
TOKENOMICS DATA reserves the right to terminate the Terms and Conditions automatically, without notice or compensation, in the event of a serious or repeated breach of the Customer's contractual obligations, in particular in the event of:
- non-payment;
- fraudulent or improper use of the Services or use contrary to the law;
- infringement of the rights of TOKENOMICS DATA, third parties or the security of the Site.
Termination shall automatically result in the deactivation of the Customer's Account, without the possibility of subsequent access to the Services.
Consequences of termination
On the effective date of termination:
- access to the Services is suspended or terminated;
- the rights of use granted to the Customer shall terminate;
- the Customer's personal data will be processed in accordance with TOKENOMICS DATA's Privacy Policy.
Article 17. MISC
Interpretation
The headings of the articles of the Terms and Conditions are used for ease of understanding and shall not be used to interpret the meaning in favor of either Party.
Entire Agreement
The Terms and Conditions represent the entire Terms and Conditions and agreement of the Parties regarding the subject matter hereof and supersede all prior or contemporaneous discussions, agreements, and contracts, whether oral or written, between the Parties.
Any deviation from the Terms and Conditions shall require the express agreement of TOKENOMICS DATA.
Modification
TOKENOMICS DATA reserves the right to modify the Terms and Conditions at any time, in particular to take into account any legal, regulatory, jurisprudential, editorial, functional and/or technical developments.
The version of the Terms and Conditions that prevails is the one available online on the day the Order is confirmed.
Any Order placed by the Customer after the publication of the amended Terms and Conditions shall constitute acceptance by the Customer of the new Terms and Conditions.
Partial invalidity
If any provision of the Terms and Conditions is, for any reason, deemed invalid, unlawful or unenforceable, in whole or in part or in any respect, or if any provision of the Terms and Conditions has the effect or would have the effect of invalidating the Terms and Conditions, then, in such a case, only such provision(s) shall be deemed void and shall not affect any other provision of the Terms and Conditions, and the other provisions of the Terms and Conditions shall remain in full force and effect and shall not be affected or impaired by such invalidity. The same principles shall apply in the event of incomplete provisions.
Waiver
Any failure to exercise or delay in exercising a right or prerogative by one Party shall not be considered a waiver of the right or prerogative to exercise that right or prerogative at a later date to the benefit of the other Party.
Similarly, the exercise of a single right or the partial exercise of a right or prerogative shall not preclude the subsequent exercise of any other right or prerogative provided for in these Terms and Conditions.
No waiver shall be effective unless set forth in writing and signed by a duly authorized representative of each Party.
Language of the Terms and Conditions
The Terms and Conditions are written in French, which is the only language that is binding between the Parties.
In the event of translation into one or more languages, only the text written in French shall be binding in the event of a dispute.
Evidence
Files, data, and messages stored in TOKENOMICS DATA's computer systems shall be accepted as proof of acts and facts between TOKENOMICS DATA and Customers.
Unless proven otherwise, records shall be presumed to have been stored under reasonable security conditions if messages, data and other documents are systematically recorded on a reliable and durable medium.
Advertising
TOKENOMICS DATA reserves the right to insert advertising or promotional messages on any page of the Site and in any communication in a form and under conditions that it alone shall determine.
The Customer therefore accepts the display of such messages on the Site.
In its capacity as publisher of the Site, TOKENOMICS DATA is free to market the advertising space on the Site to advertisers of its choice. The Customer acknowledges that they have no rights to this advertising space and shall refrain from any request or action in this regard.
Links
When using the Site, Users may have access to various links directing them to third-party sites, including partner sites.
TOKENOMICS DATA shall in no event be held liable for the technical availability of websites or mobile applications operated by third parties that the User may access through the Site.
TOKENOMICS DATA accepts no responsibility for the content, advertising, products and/or services available on such third-party websites and mobile applications, which are governed by their own terms of use.
TOKENOMICS DATA is also not responsible for transactions between the User and any advertiser, professional or merchant to whom the User is directed via the Site and shall in no event be a party to any disputes with such third parties concerning, in particular, the delivery of products and/or services, the guarantees, declarations and other obligations to which these third parties are bound.
Article 18. APPLICABLE LAW
All rights and obligations arising from the TERMS AND CONDITIONS shall be governed by French law.
In the event of a dispute concerning the validity, formation, performance or interpretation of the Terms and Conditions, the Parties shall first seek an amicable solution.

In accordance with Articles L.612-1 et seq. of the French Consumer Code, TOKENOMICS DATA adheres to a consumer mediation scheme.
In the event of a dispute that cannot be resolved directly with TOKENOMICS DATA, the Customer may have recourse, free of charge, to a consumer mediator whose contact details are available at below . This recourse to mediation aims to achieve an amicable resolution of disputes.
UNLESS OTHERWISE REQUIRED BY LAW, ALL DISPUTES RELATING TO THE VALIDITY, EXECUTION AND/OR INTERPRETATION OF THE TERMS AND CONDITIONS OR THE CONTRACTS ARISING THEREFROM SHALL BE SUBJECT TO THE JURISDICTION OF THE COURTS OF THE JURISDICTION OF THE COUR D'APPEL DE PARIS , EVEN IN THE EVENT OF THIRD-PARTY PROCEEDINGS OR MULTIPLE DEFENDANTS.
